Terms of Service & Wholesale Sales Conditions

These Terms of Service govern all access to [Website URL] and all wholesale footwear sales contracts between COMPANY NAME and the business buyer (“Customer”). By submitting an enquiry, confirming quotation or placing an order, you fully accept these terms.

1.Wholesale Account & Eligibility

Our services are exclusively for business buyers (retailers, distributors, resellers). All customers must provide valid business information to qualify for wholesale pricing. We reserve the right to refuse account registration or order requests without explanation.

2.Quotation & Orders

• All price quotations are valid for [15] calendar days unless stated otherwise. Prices are subject to adjustment due to raw material, logistics cost fluctuations.
• An order is only confirmed after we receive your written order confirmation and required deposit. Oral communication does not constitute a binding sales contract.
• Minimum Order Quantity (MOQ) applies to all bulk shoe orders; sample orders follow separate sample pricing rules.

3.Payment Terms

Payment terms are confirmed in formal quotations. Common terms include deposit before production, balance payment before shipment. If payment is overdue, we reserve rights to delay production, suspend shipment or cancel orders.

4.Production & Delivery

All production lead times and delivery dates are estimated timelines. We will notify customers promptly for delays caused by raw material shortage, factory issues, logistics or force majeure. Risk of goods transfers to the customer upon loading at designated warehouse.

5.Samples

Sample cost and freight cost are borne by the customer. Sample quality is for reference only; slight reasonable differences between samples and bulk goods are acceptable within industry standards.

6.Returns & Quality Claims

• Inspect goods immediately after receiving shipment. All quality complaints must be submitted in writing within 7 working days after goods arrival, attached with photos/videos evidence.
• We only accept returns or compensation for confirmed production defects. Goods cannot be returned simply due to customer overstock, unpopular styles, wrong order quantity.
• Unauthorized return shipments will be rejected. Return shipping fees are to be agreed separately for each approved claim.

7.Intellectual Property

All product pictures, designs, logos displayed on our website belong to [COMPANY NAME]. Customers are prohibited from copying, reproducing or using our materials without written authorization. Customers guarantee they will not use purchased footwear to infringe third-party trademarks.

8.Limitation of Liability
